ChapChap Agent Terms & Conditions
These Terms and Conditions (the “Terms”) set out the complete terms and conditions applicable to your engagement as a ChapChap Agent by ChapChap Africa Ltd, a company duly incorporated and operating in Uganda (hereinafter referred to as “ChapChap”, “We”, “Us”, or “Our”).
These Terms shall apply to you (“Agent”, “You” or “Your”) and shall be binding upon your successors, assignees, and representatives. These Terms may be updated from time to time and take effect upon publication by ChapChap.
These Terms are supplemental to, and must be read together with, any service guides, policies, directives, and product-specific terms that may be issued by ChapChap from time to time.
- Definitions
- Agent: A licensed entity or individual who has registered and paid a fee to operate within the Chap Chap platform and access its services, including referral commissions and cashback rewards in accordance with the terms.
- Account: means any business account nominated by you for the purposes of this Agreement (for and including settlement, Chargeback or billing purposes).
- Stock: A prepaid virtual product or service issued by Chap Chap, redeemable by the Agent.
- Commission: Earnings awarded to Agents based on agent referrals.
- Cashback: A digital reward returned to users after purchases on the platform.
- Sponsor: An agent who introduces another agent to the company.
- Transaction: means an exchange or transfer of goods, services or funds electronically.
- ChapChap Services: Any financial or value-added services offered by ChapChap Africa Ltd, including but not limited to wallet-based payments, cash-in/cash-out, bill payments, overdrafts/float advances, or other future offerings.
- Float: Electronic money (e-money) loaded and maintained by the Agent in their wallet to facilitate ChapChap transactions.
- Outlet: A physical business location where ChapChap services are rendered by the Agent.
- Platform: The digital system, tools, or interfaces provided by ChapChap to support Agents in performing services.
- Agent Registration and Eligibility
Applicants must :
- Be at least 18 years old and legally residing in a jurisdiction where Chap Chap Africa Ltd operates.
- A mobile phone with a verified active mobile number and access to the Chap Chap App.
- Pay license fees.
- Valid National ID ( NIN)
- A clear selfie in their functioning and accessible outlet.
- Business registration or LC introduction letter
- Functioning accessible outlet
Chap Chap Africa Ltd reserves the right to approve or reject any application at its sole discretion.
Errors in applications must be reported within 24 hours through support@chapchap.co
Upon registration, Agents agree to the Chap Chap Agreement, including licensing and compliance obligations.
- Agent Status and Engagement
Agents are independent contractors. They are not employees or legal representatives of Chap Chap Africa Ltd and are solely responsible for business operations, compliance with national laws and determining working hours.
You are hereby appointed by ChapChap as a non-exclusive Agent to facilitate ChapChap Services through your Outlet(s).
Your role shall be to perform such functions as ChapChap may require or approve, including onboarding customers, cash handling, wallet operations, and executing customer transactions on behalf of ChapChap.
- Network Structure and Sponsorship
- Positions and sponsors are final upon registration. No changes are permitted post-registration.
- The agent is solely responsible for ensuring correct placement.
- Agent Account Management and obligations
Agents must:
- Maintain account security and confidentiality of login credentials. Passwords and account security are solely the Agent’s responsibility.
- Agents must maintain an active account to be eligible for earnings (commissions and cashbacks).
- Agents must maintain an active license by paying an annual renewal fee.
- Ensuring personal data is updated at all times.
- Shall maintain an appropriate level of float and liquidity to support transactions and shall not divert float for unauthorized purposes.
- Conduct operations honestly, fairly, and professionally;
- Refrain from overcharging customers or engaging in unethical conduct;
- Display required signage and branding as provided by ChapChap.
- Protect customer and platform confidentiality.
- Cooperate with ChapChap and FIA during investigations.
- Allow compliance inspections without prior notice.
- Earnings and Stock Conversion
- Chapchap shall, at its discretion, pay You commissions or incentives/ cashback, and bonus for eligible transactions, as communicated from time to time.
- Commission, cashback, and bonus structures may be reviewed or amended periodically.
- Stock purchases are prepaid.
- Each redemption earns cashback.
- Commission, cashback, and bonus rates are subject to change at the sole discretion of ChapChap.
- Commissions are paid immediately; cashback and bonuses are payable monthly.
- Once converted to stock, commissions/bonuses cannot be reversed to cash.
- All payments are subject to tax deductions as required by law
- Payment Plan and Methods.
- Chap Chap Africa Ltd reserves the right to revise its payment plan to ensure sustainability.
- Accepted payment methods include bank transfers, mobile money (MTN, Airtel). Updates will be communicated accordingly.
Payments are non-refundable unless explicitly stated otherwise.
- Prohibited Conduct
Strictly prohibited activities include, but are not limited to:
- Fraudulent transactions or activity.
- Collusion and manipulation of float.
- Impersonation.
- Abuse of customer trust .
- Involvement in scams or Ponzi schemes.
- Forex or crypto transactions via the platform.
- Unauthorized use of customer funds or misappropriate user funds.
- Perform split transactions to bypass limits.
- Promoting competitive platforms or recruiting Chap Chap users into MLM schemes.
- Perform transactions on behalf of customers without their presence.
- Multiple deposits.
- Damage Chap Chap’s reputation or illegally share confidential data.
Fraudulent Transactions: The Agent shall not engage in any fraudulent activity or transaction, whether directly or . This includes, but is not limited to: The simulation of deposits or withdrawals; Falsifying or fabricating KYC or transaction data; Engaging in deceptive conduct to obtain undue commissions or incentives; and Conduct designed to mislead ChapChap systems or financial records.
ChapChap reserves the right to monitor, investigate, suspend/ terminate/ block your Agent account and privileges where there is reasonable suspicion of misconduct and possible legal action and regulatory reporting
- Float Management and advances
- Agents are responsible for funding and managing their float to avoid service disruption.
- ChapChap may, in its discretion, offer float advances or overdrafts to eligible Agents based on transactional history and credit assessment.
- Such advances are subject to separate terms, including repayment obligations and default penalties.
- Compliance
The agents must comply with all BOU Guidelines, Anti-money laundering Laws, CFT laws, Data protection and privacy laws, FIA guidelines, all Chapchap operating rules and directives.
- Credit Management
Agents do not provide credit on behalf of Chap Chap, and are solely liable for any credit issued to customers.
- Use and Protection of Personal Data
- Agents must keep their personal information accurate and updated.
- Chap Chap Africa Ltd will use personal data strictly for business operations and may share it with partners or regulators as needed.
- Personal data is handled in compliance with Uganda’s Data Protection and Privacy Act, 2019.
- Agents have the right to: Access and request corrections to personal information and withdraw consent, which results in account closure.
- Confidentiality and Privacy
All confidential information shared by the company remains the property of Chap Chap Africa Ltd. All platform content, software, data, strategies, and customer lists are confidential and the sole property of Chap Chap Africa Ltd.
Agents must not:
- Share, duplicate, or exploit confidential materials.
- Retain proprietary documents after contract termination. Agents must return or delete confidential information upon termination.
- Disclosure or misuse is grounds for legal action and termination.
- Communications and Notices
- Legal notices will be issued electronically via in-app notifications/website updates, registered phone number, and email.
- You can withdrawal consent at any time by emailing support via support@chapchap.co
- Withdrawal of electronic consent will result in account deactivation and termination of any rights.
- Intellectual Property
- ChapChap Africa Ltd owns all trademarks, content, and applications.
- Misuse of content, tools, images, and designs of Chap Chap without approval.
- You may not reproduce, alter, or distribute such materials without prior written consent.
- Unauthorized use or distribution of company content is prohibited.
- All marketing must comply with Chap Chap’s branding guidelines.
- Advertising Policy
- Agents must seek written approval before using Chap Chap branding or IP in any advertising.
- The use of Chap Chap in domain names or media without permission is prohibited.
- Product/ Service Delivery and Risk
- Products/services are considered delivered once accessible through the platform/ upon successful transaction.
- Chap Chap is not liable for post-delivery misuse or access issues. Chap Chap is not liable for delays, misuse, or third-party delivery failures.
- Termination and Suspension/ Block
- Termination can be by either party giving 14 days’ written notice.
- Account termination by Chap Chap may occur due to fraud, gross misconduct, suspicious activity suspected, compromised account, Platform abuse, or T&C breach is detected, inactivity, or upon regulatory instruction.
- Accounts may be suspended during investigations or where deemed necessary for security.
You shall:
- Cease offering ChapChap services;
- Return all ChapChap property and branding materials;
- Settle any outstanding float advances or obligations.
- Compliance Monitoring and Enforcement
ChapChap reserves the right to audit agent accounts and transactions for compliance. Any agent found in violation of this clause:
- Shall be subject to suspension or termination of their agency relationship;
- May forfeit earned commissions or other financial benefits;
- May be held liable for financial losses or reputational harm caused to ChapChap;
- Shall be reported to the Financial Intelligence Authority or other relevant enforcement bodies.
- Location
The agents are limited to operate within Uganda only. They should also have a physical business location within which to conduct or carry out their operations.
- Accuracy of Information
While Chap Chap strives for accurate product and service descriptions, no warranty is made for completeness or correctness.
- Taxes and Fees
Agents are responsible for declaring and paying all taxes, duties, and fees applicable in their jurisdiction.
- Amendments
- Chap Chap Africa Ltd may amend/ revise these terms by posting revised versions via the app or website.
- Continued use constitutes acceptance of the updated terms
- Warranties and Indemnities
- Chap Chap provides services “as is” and disclaims liability for errors or omissions.
- Agents agree to indemnify Chap Chap against any claims resulting from misuse or IP violations.
- Liability
The Agent is liable for losses arising from fraud, their employee misconduct, negligence, or unauthorized transactions.
ChapChap is not liable for system failures beyond its control, e.g, system outages, power failure, etc.)
ChapChap shall not be liable for Losses due to Force Majeure, Loss or theft of physical cash at the outlet, Unauthorized access to your device due to your negligence
- Governing Law
This Agreement is governed and interpreted in accordance with the laws of Uganda.
- Dispute Resolution
If dissatisfied,
- Complaints should be submitted via official channels and resolved within 7 days.
- Raise the issue via email or phone with customer support, i.e., support@chapchap.co 0323002828/0323002830
- Unresolved issues may be escalated to the Managing Director, mediator, or arbitrator.
- Legal action may follow only if referred by the arbitrator to court.
- Acceptance
- By registering, agents confirm acceptance of these Terms and Conditions.
- Acknowledgement of Responsibility
By accepting these Terms, the Agent confirms understanding of and commitment to compliance with all applicable Ugandan laws, ChapChap’s internal policies, and any directives issued by regulators from time to time.
- This Agreement constitutes the entire understanding between Chap Chap Africa Ltd and the Agent.
