These Terms and Conditions (“Terms”) govern your use of the ChapChap Shop mobile application and related services (the “App” or “Service”) operated by ChapChap Africa Ltd (“we”, “us”, or “our”), a registered company in Uganda.

By accessing or using the App, you agree to these Terms, including our integrated Privacy Policy.

1. Eligibility

To use ChapChap Shop, you must be at least 18 years old and legally capable of entering binding contracts. By creating an account, you confirm that all information provided is true and up-to-date. 

2. Services Provided

ChapChap Shop is a mobile app designed to help individuals and businesses manage daily business operations through: 

• Sales and expense tracking 
• Credit management (track debts issued and received)
• Report generation and summaries
• Business insights and analytics
• Customer and transaction records
• Inventory and payment monitoring

We may update or add features from time to time without prior notice.

3. User Accounts

• Registration requires a valid mobile number and user identification. 
• Users are responsible for maintaining the confidentiality of their credentials.
• You must promptly notify us of any unauthorized use of your account. 

4. Credit Management

The App includes features that allow users to: 

• Record and monitor debts (money owed to and by the business)
• Set repayment schedules or reminders
• Track credit history for specific customers
• Mark payments as partial or complete 

All credit information is user-controlled and is stored securely. ChapChap does not provide loans or financial lending services through the app. 

5. Fees and Payments

ChapChap Shop offers both free and premium features options. Charges for premium services will be communicated clearly within the app. Fees are subject to change with prior notice.

Payments are processed via mobile money or other secure channels.

Accepted Payment Methods: 

• Mobile Money (MTN Mobile Money, Airtel Money)
• Bank Transfers (where integrated)
• Debit/Credit Cards (via authorized processors)
• ChapChap Wallet (if applicable)
• In-app purchase options (where supported)

All transactions are processed securely using licensed payment gateways. 

6. Acceptable Use

You agree to use the App lawfully and ethically. Prohibited uses include: 

• Engaging in fraud or misrepresentation
• Distributing malware or harmful content
• Attempting to access other users’ data without authorization
• Use the App for unlawful activities
• Attempt unauthorized access or interfere with the system

Violation may result in suspension or permanent termination of access. 

7. Intellectual Property

All content, code, design/ trademark, software and branding on ChapChap Shop is owned by or licensed to ChapChap Africa Ltd. You may not reproduce, distribute, or modify any materials without written permission. You are granted a limited, non-transferable license to use the App for personal or business use in accordance with these Terms.

8. Privacy Policy and Data Collection.

We collect data in accordance with Uganda Data Protection and Privacy Act, 2019

• Contact details: name, phone number, business information
• Business records: sales, expenses, credit entries
• Device & usage information
• Optional location data (with consent)

2. How We Use Your Data

• To operate the App efficiently
• To personalize user experience and generate business insights
• To communicate important updates
• To comply with legal obligations

3. Legal Basis 

Processing is justified by: 

• Consent
• Contractual necessity
• Legitimate business interest
• Legal requirements

4. Data Sharing 

Data may be shared with: 

• Licensed cloud providers and third-party processors
• Payment partners (to complete transactions)
• Regulatory authorities (only as required by law)

We do not sell personal data to third parties. 

5. Data Storage and Cross Border Data Transfers 

Your data may be stored in Uganda or securely transferred to jurisdictions with adequate protections. All data transfers are protected by: 

• Standard contractual clauses with service provider
• Encryption protocols and secure data transfer protocols.
• Verified third-party compliance
• Hosting in jurisdictions with adequate data protection laws

6. Your Rights

You may request to:

• Access your data
• Correct or update your information
• Delete your account
• Object to or restrict data processing
• File a complaint with Uganda’s Personal Data Protection Office (PDPO)

7. Data Security

We employ:

Users are advised to use strong passwords and avoid sharing credentials. 

8. Children’s Privacy

Our services are intended for users aged 18 and above. We do not knowingly collect information from minors. 

9. Third-Party Services 

The App may integrate with mobile money platforms, payment APIs, SMS gateways, or analytics providers. We are not responsible for external platforms’ availability or privacy practices of third-party providers.

10. Disclaimer of Warranties

We provide the App “as is” and do not guarantee uninterrupted availability, accuracy, or error-free operation. You assume full responsibility for using any financial data generated. 

11. Limitation of Liability 

To the fullest extent allowed by law: 

• We are not liable for indirect or consequential losses
• We are not responsible for loss of profits, data, or business opportunities
• Our liability is limited to fees paid by you in the past 12 months

12. Termination 

We may suspend or permanently terminate your access to the App for breach of these Terms or illegal activity. Upon termination, access to all services will cease.

13. Governing Law 

These Terms are governed by the laws of Uganda. Disputes will be first resolved amicably through mediation before litigation in the courts of competent jurisdiction within Uganda.

14. Changes to Terms 

We reserve the right to modify these Terms or features of the App at any time. Major changes will be notified via the App or email. Continued use indicates acceptance of the new Terms.
